This User Agreement describes the terms and conditions on which CORIDE Mobility Pvt. Ltd.

1. Agreement and Scope

This is the User Agreement (the “Agreement” or “User Agreement” or “Terms of Service”) for CORIDE, an application owned and operated by CORIDE Mobility Pvt. Ltd., whose office is located at #96, 2nd Floor, 3rd Cross, RJ Garden, Ashwath Nagar, Anand Nagar, Marathahalli, Bangalore - 560037. In this Agreement, CORIDE refers to the CORIDE Platform and/or CORIDE Mobility Pvt. Ltd., as the context requires.

CORIDE Platform means the application, website, mobile app, progressive web app, and customer support systems that enable CORIDE Carpooling Services.

This Agreement is a legally binding agreement between you (“You,” “Your,” or “Yourself”) and CORIDE. By signing up with or using the CORIDE Platform, you confirm that you understand this Agreement and accept all of its terms. Any use of the CORIDE Platform without accepting these terms is deemed unauthorized.

We reserve the right to amend this Agreement from time to time and post the updated terms on the CORIDE Platform. Continued use of the Services after such amendments constitutes acceptance of the updated terms.

2. Termination

We may terminate or suspend access to CORIDE and the CORIDE Platform at any point in time without cause and without prior notice or liability, including without limitation any breach of these Terms.

You may terminate the agreement after clearing any balance due by closing your User Account. CORIDE reserves the right to retain account data for a period as required by CORIDE.

Ownership

3. Intellectual Property Ownership

CORIDE shall own all right, title, and interest, including all related intellectual property rights, in and to the CORIDE Platform, application, product, suggestions, feedback, data, recommendations, text, graphics, interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and other information provided by you or any other party relating to the CORIDE Platform or Application.

3.1 Limited License

Subject to your compliance with these Terms, CORIDE grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download and install a copy of the Application on a single mobile device that you own or control and to use the CORIDE Platform solely for your own personal use.

You shall not license, sublicense, sell, resell, transfer, assign, distribute, or commercially exploit the Service or Application; modify or create derivative works; frame or mirror the platform; reverse engineer it; or launch automated scripts that burden the platform or its systems.

Registration, eligibility, and account security

4. Eligibility

Our Services are available only to individuals who can form legally binding contracts under applicable law. Our Services are not available to children under the age of 18 or to indefinitely terminated participants. By using the CORIDE Platform and/or Services, you represent and warrant that you are at least 18 years old and have the right, authority, and capacity to enter into this Agreement.

You represent that you are the sole authorized user of your account and are responsible for maintaining the confidentiality of your password or OTP. CORIDE has no control over the use of your account and disclaims liability arising from unauthorized account use.

4.1 Verification of IDs and Phone Number

By accepting these terms, every member agrees that CORIDE may collect and use profile information, IDs, documents, including Driving License, Passport, Official Email ID, PAN Card, AADHAAR Card, job profile, and other identity documents, for the purpose of verifying the information provided.

Third-party accounts and communication consent

5. Social Media and Networking Sites

As part of the functionality of the CORIDE Platform, you may be able to log in through third-party accounts. If you grant CORIDE access, CORIDE may access, store, and make available certain content from those accounts subject to the applicable terms and privacy settings.

Please note that your relationship with such third-party service providers is governed solely by your agreement with them, and CORIDE has no responsibility for the content or practices of those services.

5.1 Communications

By becoming a participant, you agree to receive email communications, WhatsApp messages, in-app notifications, voice calls, and text messages from CORIDE, including usage information, new services, matching options, features, promotional offers, and related communications. Standard carrier charges may apply. If you do not wish to receive such communications, you may not use the Services.

6. Your Information

Your Information means any information you provide, configure, publish, or display on the CORIDE Platform, including identity details, documents you upload, location data, routes, communication with other users, home and office locations, and service usage data.

You consent to CORIDE using your information to create a user account and to provide the Services. You agree to provide accurate, current, and complete information and update it as necessary. CORIDE may analyze this information to publish usage statistics, run promotions, and improve services.

6.1 Information Control

Location data collected by the CORIDE Platform is intended for basic location purposes only and is not guaranteed to be precise or always accurate. Any information you upload or post may be accessible to other users of the CORIDE Platform.

6.2 Privacy

Use of the Services is subject to our Privacy Policy. By using the Services, you accept and agree to be bound by the Privacy Policy. CORIDE reserves the right to amend the Privacy Policy from time to time.

7. Proprietary Rights

CORIDE owns and retains ownership in the CORIDE Platform, its interface, logo, trade marks, data, websites, content, and source code, and all intellectual property relating thereto. Subject to your compliance with this Agreement, CORIDE grants you a limited, non-transferable, non-exclusive, revocable license to use the CORIDE Platform on devices you own or control.

7.1 Intellectual Property

All intellectual property rights on the CORIDE Platform and in the Services shall be owned by CORIDE absolutely and in their entirety. This includes database rights, copyright, design rights, trademarks, and similar rights. Any submissions, questions, comments, suggestions, feedback, or similar information provided to CORIDE become non-confidential and shall become the sole property of CORIDE.

7.2 Copyright Complaints

If you believe that any materials on the Services infringe your copyright, you may send a notice to the Copyright Agent at CORIDE Mobility Pvt. Ltd., #96, Floor, 3rd Cross, RJ Garden, Ashwath Nagar, Anand Nagar, Marathahalli, Bangalore - 560037, including a description of the work, location of the material, your contact details, and a statement of good faith and accuracy.

Online content disclaimer, confidentiality, and liability limits

8. Online Content Disclaimer

Opinions, advice, statements, offers, or other information or content made available through the CORIDE Platform are those of their respective authors and should not necessarily be relied upon. CORIDE does not guarantee the accuracy, completeness, or usefulness of any information on the Services.

We reserve the right, but have no obligation, to monitor public materials posted on the Services. You remain solely responsible for the content you post in public areas or private chats. CORIDE may remove any content that violates the law or these terms.

8.1 Confidentiality

You agree not to use any technical, financial, strategic, or other proprietary and confidential information relating to CORIDE’s business or operations for your own use or for any purpose other than as contemplated by this Agreement. You shall not disclose such information to third parties and shall take reasonable measures to protect it.

8.2 No Agency

You and CORIDE are independent contractors, and no agency, partnership, joint venture, employee-employer, or franchisor-franchisee relationship is intended or created by this Agreement.

Liability

Limitation of liability, release, and breach

9. Limitation of Liability

In no event will CORIDE, its subsidiaries, officers, directors, employees, or suppliers be liable to you for incidental, consequential, or indirect damages, including loss of data, service interruption, loss of programs, or the cost of substitute services, arising out of or in connection with the Services or this Agreement.

CORIDE will not be liable for damages arising from communications or meetings with other participants, physical injury, death, emotional distress, or discomfort related to the use of the Services.

9.1 Release

In the event that you have a dispute with one or more users, you agree to release CORIDE and its officers, directors, agents, subsidiaries, joint ventures, and employees from claims, demands, and damages of every kind and nature arising from such disputes or from your use of the CORIDE Platform.

9.2 Breach

Without limiting other remedies, we may terminate your participation, remove your information, warn the community, issue a warning, or refuse to provide our services if you breach this Agreement, provide unverified information, engage in fraudulent activity, or if your feedback or rating indicates misuse.

Arbitration, notices, and termination

10. Agreement to Arbitrate

This Agreement shall be governed by the laws of India. Any dispute that cannot be resolved amicably shall be submitted to binding arbitration in Bengaluru, India, by a single arbitrator appointed by mutual consent, or otherwise in accordance with the Indian Arbitration and Conciliation Act, 1996. The Courts at Bengaluru shall have exclusive jurisdiction.

10.1 Notices

Any notices to CORIDE shall be given by certified mail to CORIDE Mobility Pvt. Ltd., #96, 1st Floor, 3rd Cross, RJ Garden, Ashwath Nagar, Anand Nagar, Marathahalli, Bangalore - 560037. Notices to you may be provided through the CORIDE Platform or via the email address provided during registration.

10.2 Term and Termination

This Agreement is effective upon use of the CORIDE Platform or the Services for new users and upon the posting of any subsequent amendments for existing users. You or CORIDE may terminate participation at any time. Upon termination, CORIDE may retain archived records as required by law.

Members

Disputes between members and general provisions

11. Disputes Between Members

CORIDE may, at its sole discretion, provide members with an online service for resolving inter se disputes. This service is non-binding and may be withdrawn at any time. Disputes between members shall be dealt with independently between the parties as deemed necessary.

11.1 General

This Agreement shall be governed by the laws of India without regard to choice of law principles. If any provision is held invalid or unenforceable, the remaining provisions remain effective. This Agreement sets forth the entire understanding and agreement between the user and CORIDE.

CORIDE Carpooling Services

The CORIDE Platform provides carpooling services that help users connect for shared private vehicle rides on a common route and time. The Platform is intended only for private vehicles and is not a public transportation service or carrier.

12. Carpooling Service Terms

The CORIDE Carpooling Service is designed to help users discover and connect with other users traveling in the same direction. It is not a transportation carrier and does not itself provide transportation services. Users decide whether to offer or accept rides, and CORIDE plays a transient technological role in connecting them.

12.1 Definitions

  • Account: the user account created for registration and use.
  • Member: any user of the CORIDE platform who registers and expresses interest in carpooling services.
  • Carpool Giver: an individual offering a ride in a private vehicle and sharing the empty seats.
  • Carpool Taker: an individual looking to travel and join a shared ride.
  • Ride Vehicle: a private vehicle used by a Carpool Giver for the purpose of sharing rides.

12.2 Carpool Giver Obligations

By using the Carpooling Services, the Carpool Giver represents and warrants that they are at least 18 years old, hold a valid driving license, legally own or operate the ride vehicle, maintain the vehicle in safe operating condition, and comply with applicable insurance, registration, tax, and pollution-under-control requirements. The Carpool Giver shall be solely responsible for any liability arising from operation of the ride vehicle and must follow all applicable laws and road restrictions.

The Carpool Giver must present themselves on time, inform participants of route or timing changes, obtain agreement from existing participants before making any material change, and not demand additional costs beyond those mutually agreed.

12.3 Carpool Taker Obligations

The Carpool Taker agrees to present themselves at the agreed pickup point on time, inform the Carpool Giver or CORIDE if they must cancel, comply with the Good Conduct Charter, and share the agreed ride cost as per the platform’s points or payment system.

12.4 Prohibited Conduct

Users shall not impersonate others, harass people, automate scraping or data extraction, remove copyright notices, transmit viruses, forge headers, frame the platform, or otherwise interfere with services. User information and interactions must not be false, misleading, defamatory, obscene, unlawful, or infringing.

Payments

Carpool points, payments, and charges

13. Carpool Point System

To support ride and expense sharing, CORIDE uses a Carpool Point system. Carpool Takers may link e-wallets, UPI, debit cards, credit cards, or net banking accounts. Carpool points may also be used to take carpools or redeem for fuel or vehicle maintenance expenses. Cash payments are strictly prohibited.

Upon completion of a ride, points are transferred from the Carpool Taker to the Carpool Giver as agreed between them. The Carpool Giver undertakes that points received shall be used only for fuel or vehicle maintenance expenses. CORIDE may charge platform service fees, subscription fees, account maintenance fees, and cancellation fees as applicable.

CORIDE may charge an administrative fee of 9% or a minimum of ₹2 for each ride shared, and the platform may change these fees at its discretion. All payments are non-refundable unless otherwise stated by CORIDE.

Safety

Safety, restricted activities, and background checks

14. Safety

Users are responsible for their safety with regard to the rides undertaken using the Carpooling Services. CORIDE provides a technology-enabled platform to help users initiate, accept, and undertake rides, but it is up to the Carpool Giver and Carpool Taker to choose their carpool partners and make their own decisions.

14.1 Restricted Activities

Users must not misuse the Platform, use it to exploit offers, create duplicate accounts, contact users for purposes other than carpooling, solicit sales, or promote business interests. Any such misuse may result in immediate suspension or termination of the account, along with forfeiture of available wallet balance.

14.2 Background Checks

We may obtain information about you, including your driving record, location, references, contact details, account balance, and credit information. You agree to authorize CORIDE to perform necessary background checks and to use third-party verification services to verify documents.
