User Agreement for CORIDE Mobility Pvt. Ltd.

1. PARTIES, PLATFORM AND SCOPE

These User Terms and Conditions (Terms) are a legally binding agreement between you (You, Your, User or Participant) and CoRide Mobility Pvt. Ltd. (CoRide, We, Us or Our) having registered office at No.19 & 36/14K, KMJ AVEN, CHINNAPPANA HALLI VILLAGE, Marathahalli Colony, Bangalore, Bangalore North, Karnataka, India, 560037, for the Carpool Services made available through the application currently branded as Quick Ride (Platform).

2. DEFINITIONS

• Account: Your registered user account on the Platform.
• Carpool Services: Technology-enabled services that allow Users travelling on substantially common routes/times to discover, match and share private rides and eligible ride costs.
• Carpool Giver: A User travelling in a private vehicle for the User's own purpose who offers available seats for ride-sharing and eligible cost sharing.
• Carpool Taker: A User who seeks or accepts a ride offered by a Carpool Giver.
• Ride Vehicle: A privately used car or two-wheeler listed for Carpool Services and eligible under these Terms.
• Carpool Wallet: The restricted in-app account/ledger used solely for eligible Carpool transactions, including ride settlement, permitted refunds and promotional credits.
• Carpool Balance: The value recorded in the Carpool Wallet, subject to these Terms.
• Ride Contribution: The ride-cost sharing amount/value shown or agreed through the Platform.
• Platform Fee: Any disclosed fee for technology, facilitation, support or related Platform services.
• Applicable Law: All laws, rules, regulations, notifications, directions and orders applicable to the relevant activity.

3. ACCEPTANCE AND CHANGES

1. By registering for, accessing or using a Carpool Service, You accept these Terms, the Privacy Policy and policies expressly incorporated into them.
2. Where an acceptance button or equivalent is used, Your electronic acceptance constitutes acceptance of these Terms.
3. If You do not agree, do not use the Carpool Services.
4. CoRide may amend these Terms. Material changes will be communicated through the Platform or registered contact channels. Continued use after the effective date constitutes acceptance, subject to Applicable Law.

4. NATURE OF THE CARPOOL PLATFORM

CoRide provides a technology-enabled matching and facilitation service. CoRide does not itself transport Carpool Takers, operate the Ride Vehicle, or employ the Carpool Giver merely because the Giver uses the Platform.

The decision to offer, accept or complete a ride is made by the relevant Users. CoRide does not control driving, vehicle condition or conduct outside the Platform.

Carpool Services are intended for genuine ride-sharing and eligible cost sharing, not for operating a taxi, stage carriage, contract carriage, commercial passenger transport or other transportation business through the Platform.

5. ELIGIBILITY, ACCOUNT AND VERIFICATION

• You must be at least 18 years old and legally capable of contracting.
• You must provide accurate, current and complete information and update it when necessary.
• One person may maintain only one Account unless CoRide expressly permits otherwise.
• Do not share, sell, transfer or allow another person to use Your Account, OTP, password or authentication credentials.
• You are responsible for activity under Your Account and must promptly report suspected unauthorised access.
• CoRide may verify identity, contact details, driving licence, vehicle, insurance, PUC, employment or other information reasonably required for safety, fraud prevention, compliance or service operation.
• Verification is not a guarantee that a User is safe, suitable, truthful or capable of performing a ride.

6. CARPOOL GIVER OBLIGATIONS

• Be at least 18 years old and legally authorised to drive the Ride Vehicle.
• Hold a valid driving licence and have lawful authority to use the Ride Vehicle.
• Keep the Ride Vehicle legally registered, roadworthy, and compliant with applicable insurance, PUC, and other legal requirements.
• Use an eligible private/non-transport vehicle and do not use the Platform as a taxi or commercial passenger transportation service.
• Use only the vehicle listed or approved on the Platform and ensure that its information remains accurate and up to date.
• Drive safely, comply with all applicable traffic laws, and never drive under the influence of alcohol, narcotics, or any other impairing substances.
• Do not demand or collect any amount beyond the displayed or agreed Ride Contribution and disclosed Platform charges.
• Promptly inform Carpool Takers of any material delay, cancellation, or material change to the ride.
• Do not discriminate against, harass, threaten, intimidate, or abuse any User.
• Do not carry prohibited, unlawful, or dangerous goods or persons.

7. CARPOOL TAKER OBLIGATIONS

• Be at least 18 years old and provide accurate booking and contact information.
• Arrive at the agreed pickup point on time and follow reasonable pickup instructions.
• Pay the displayed or agreed Ride Contribution through the permitted Platform mechanism.
• Comply with all applicable safety and conduct requirements.
• Do not request unlawful or unsafe driving or route changes.
• Promptly notify the Platform and/or the Carpool Giver of any cancellation or material change.
• Do not carry prohibited, unlawful, or dangerous goods.

8. SAFETY AND GOOD CONDUCT

Harassment, stalking, threats, violence, sexual misconduct, discrimination, abusive behaviour, impersonation, fraud, and misuse of another User's personal information are prohibited.

Users should use the Platform's communication tools where available. CoRide may suspend or restrict an Account, remove content, cancel matches, or take other reasonable action where it reasonably believes there is a safety, fraud, legal, or platform-integrity concern.

In the event of an emergency or imminent safety threat, Users should contact the appropriate emergency authorities first and report the incident to CoRide as soon as reasonably practicable.

9. RIDE CREATION, MATCHING AND CANCELLATION

Matching may use route, time, location, preferences, and availability. A match does not guarantee that a ride will occur.

A Carpool Giver decides whether to accept a Carpool Taker, and a Carpool Taker decides whether to accept a ride. A ride is confirmed only in accordance with the status shown on the Platform.

• Users should cancel as early as reasonably possible.
• Cancellation and no-show consequences, if any, will be displayed through the Platform and may depend on the timing and circumstances of the cancellation or no-show.
• If a Carpool Giver materially changes a confirmed ride, the affected Carpool Taker may be eligible for a reversal or refund in accordance with the applicable cancellation policy.
• CoRide may waive or modify cancellation consequences in cases involving emergencies, safety issues, technical failures, or circumstances beyond a User's reasonable control.
• Repeated cancellations, no-shows, or booking abuse may result in restrictions or suspension of the User's Account.

10. CARPOOL WALLET – CHARACTER AND SCOPE

The Carpool Wallet is a restricted in-app mechanism for recording and facilitating eligible Carpool-related transactions. It may support Ride Contributions, permitted refunds or reversals, promotional credits, and other Carpool-related adjustments expressly enabled by CoRide.

The Carpool Wallet is not intended to function as a bank account, deposit account, general-purpose payment wallet, remittance facility, or money-transfer service. Except where expressly permitted by Applicable Law and supported by the actual product structure, it does not provide cash withdrawal or general cash redemption.

Nothing in these Terms represents that the Carpool Wallet is an RBI-regulated Prepaid Payment Instrument (PPI) or any other regulated payment instrument unless CoRide expressly states so and the applicable regulatory requirements have been satisfied.

11. WALLET FUNDING AND USE

• Funding methods, if any, will be displayed on the Platform and may use payment instruments supported by CoRide or its payment partners.
• The Carpool Balance may be used only for eligible Carpool transactions and other uses expressly enabled or displayed on the Platform.
• Where Platform-based settlement is mandatory, cash settlement directly between the Carpool Giver and Carpool Taker is prohibited.
• Do not use the Carpool Wallet for unrelated person-to-person transfers, loans, remittances, circulation of funds, money laundering, or any activity unrelated to genuine Carpool transactions.
• CoRide may impose reasonable transaction, balance, frequency, or usage limits and may change such limits prospectively with appropriate notice.
• CoRide may hold, reverse, adjust, or restrict a balance in cases of duplicate credits, failed transactions, chargebacks, fraud, unauthorised activity, technical errors, or other legitimate reasons, subject to Applicable Law.

12. WALLET RIDE SETTLEMENT

Where the Platform uses the Carpool Wallet, the Ride Contribution displayed before confirmation will be the amount or value to be settled, subject to applicable cancellation and adjustment rules.

After the qualifying ride status is recorded, the Platform may debit the applicable amount from the Carpool Taker's Carpool Wallet and credit the corresponding eligible amount to the Carpool Giver's Carpool Wallet, after deducting any disclosed Platform Fee, applicable tax, or other permitted charge.

Amounts received by a Carpool Giver are intended to represent the sharing of eligible ride-related costs and must not be represented or used as commercial passenger-transport income in violation of Applicable Law or these Terms.

13. WALLET CREDITS, PROMOTIONS AND CORRECTIONS

• Promotional credits, cashback, and bonuses may be subject to separate eligibility, expiry, and usage conditions.
• Promotional credits are not automatically transferable, withdrawable, or redeemable for cash.
• CoRide may correct erroneous credits or debits and recover amounts arising from technical errors or fraudulent activity, subject to Applicable Law.
• Users must not exploit wallet, cashback, referral, or promotional mechanisms through fake accounts, self-referrals, collusion, or automated activity.

14. REFUNDS, REVERSALS AND ACCOUNT CLOSURE

Where a refund or reversal is due under the applicable policy, due to a failed or duplicate transaction, or for any other valid reason, CoRide may credit the eligible amount to the Carpool Wallet or return it through the original payment method, as appropriate to the transaction and Applicable Law.

A Carpool Wallet Balance does not automatically become a cash entitlement merely because a User stops using the Carpool Services. The treatment of residual balances upon closure will be governed by the actual wallet structure, disclosed policy, and Applicable Law.

Before closing an Account, Users should complete or resolve any pending rides, refunds, disputes, and other transactions. CoRide may retain records required for legal, tax, fraud-prevention, dispute-resolution, or other lawful purposes.

15. FEES AND TAXES

CoRide may charge disclosed Platform Fees, subscription fees, or other charges for Carpool Services. Applicable taxes may be charged as required by law.

Future fee changes may be communicated through the Platform or registered contact channels. The fee applicable to a completed transaction will be the fee disclosed for that transaction, subject to correction of manifest errors or fraudulent activity.

16. PROHIBITED USES

• Using the Carpool Services as a taxi, commercial passenger service, stage carriage, or contract carriage.
• Offering rides primarily to earn a profit or commercial income rather than to share a journey and eligible ride-related costs.
• Creating or using false, duplicate, or impersonated Accounts.
• Manipulating location, route, ride, wallet, referral, rating, or transaction data.
• Using bots, crawlers, scripts, or other automated means to access or manipulate the Platform.
• Scraping, copying, reverse engineering, or commercially exploiting Platform data or technology.
• Obtaining another User's credentials, personal data, or payment information without authorisation.
• Using the Platform for unlawful activity, fraud, money laundering, or unrelated movement of funds.
• Engaging in harassment, discrimination, threats, violence, or other harmful conduct.
• Bypassing Platform payment mechanisms or encouraging another User to do so.

17. USER CONTENT AND COMMUNICATION

You remain responsible for the information, photographs, messages, ratings, and other content submitted by You. You grant CoRide a non-exclusive, worldwide, royalty-free licence to host, process, reproduce, and display such content as reasonably necessary to operate, secure, improve, and support the Carpool Services, subject to the Privacy Policy and Applicable Law.

CoRide may remove or restrict content that violates these Terms, Applicable Law, safety requirements, or third-party rights.

18. PRIVACY AND PERSONAL DATA

The processing of personal data is governed by the applicable Privacy Policy and Applicable Law. Information may be processed for registration, identity verification, matching, location services, communication, payments, wallet administration, fraud prevention, safety, customer support, analytics, and legal compliance.

The Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025 form the current statutory framework, subject to their applicable commencement provisions. CoRide should maintain a separate Privacy Policy aligned with its actual data roles, notices, lawful-use mechanisms, retention practices, and grievance processes.

19. INTELLECTUAL PROPERTY

The Platform, software, databases, interfaces, designs, trademarks, logos, and other proprietary materials are owned by or licensed to the relevant rights holders. No ownership rights are transferred to You.

Subject to these Terms, You receive a limited, revocable, non-exclusive, and non-transferable licence to use the Carpool functionality for personal use. You must not copy, modify, reverse engineer, decompile, create derivative works from, sell, sublicense, or commercially exploit the Platform, except to the extent permitted or required by Applicable Law.

20. THIRD-PARTY SERVICES

The Platform may integrate payment gateways, identity-verification services, mapping services, communication services, and other third-party services. The terms and conditions of such third parties may apply to your use of those services.

CoRide is not responsible for matters solely within a third party's systems, subject to CoRide's obligations under Applicable Law.

21. SERVICE AVAILABILITY AND DISCLAIMERS

CoRide will use reasonable efforts to maintain the Carpool Services; however, uninterrupted or error-free operation is not guaranteed. The Services may be unavailable due to maintenance, updates, network failures, security incidents, regulatory requirements, force majeure events, or other circumstances beyond CoRide's reasonable control.

Location, estimated time of arrival (ETA), route, matching, and similar information may be inaccurate, incomplete, or delayed. Users should exercise their independent judgment and should not rely on the Platform for emergency or critical transportation.

CoRide does not warrant that every User is who they claim to be, that every ride will occur, or that User information is complete or accurate. CoRide does not control the driving, vehicle condition, or conduct of Users during a ride.

22. INDEMNITY

To the extent permitted by Applicable Law, You agree to indemnify and hold harmless CoRide, its directors, officers, employees, and service providers from and against third-party claims, losses, liabilities, damages, and reasonable costs arising from Your breach of these Terms, unlawful conduct, misuse of the Platform, fraud, violation of another person's rights, or Your acts or omissions connected with a ride.

This provision does not exclude or limit any liability that cannot lawfully be excluded or limited under Applicable Law.

23. LIMITATION OF LIABILITY

To the maximum extent permitted by Applicable Law, CoRide will not be liable for any indirect, incidental, special, consequential, or punitive losses or damages, including loss of profits, goodwill, business opportunities, or anticipated savings.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including any mandatory rights or remedies available to consumers under Applicable Law.

Subject to Applicable Law, CoRide's aggregate liability arising directly from a Carpool transaction shall be limited to an amount determined by legal counsel and stated here before publication:

24. USER-TO-USER DISPUTES

Users should first report ride-related disputes through CoRide's available support mechanism. CoRide may review relevant Platform records or facilitate communication between Users but is not required to resolve private disputes between Users, except as required by Applicable Law.

Nothing in this section removes or limits any statutory right or remedy that cannot lawfully be excluded.

25. SUSPENSION AND TERMINATION

• CoRide may suspend, restrict, or terminate an Account or access to Carpool Services in cases of breach of these Terms, suspected fraud, safety risks, unlawful activity, repeated misconduct, inaccurate information, payment or wallet abuse, or legal or regulatory requirements.
• CoRide may cancel pending rides or restrict Wallet functionality where reasonably necessary to protect Users, the Platform, or transaction integrity.
• You may stop using the Carpool Services and request closure of Your Account through the available support mechanism.
• Termination does not extinguish any accrued obligations or provisions that, by their nature, are intended to survive termination, including provisions relating to intellectual property, privacy and data retention, indemnity, limitation of liability, dispute resolution, and lawful record-keeping.

26. COMMUNICATIONS

You consent to receiving service-related communications, including OTPs, booking confirmations, ride updates, cancellations, safety alerts, wallet notifications, and support messages through in-app notifications, email, SMS, WhatsApp, voice calls, or other registered communication channels, as permitted by Applicable Law.

Promotional communications will be handled in accordance with Applicable Law and any available communication preferences.

27. GRIEVANCE REDRESSAL AND CONTACT

For Carpool-related complaints or support, Users may contact the support channel displayed on the Platform.

The source Quick Ride agreement identifies support@quickride.in and supportescalation@quickride.in as support contacts. CoRide should confirm these email addresses before publication.

CoRide should publish the applicable grievance mechanism and officer details wherever required under Applicable Law.

28. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of India. The parties will first attempt to resolve disputes in good faith through the applicable grievance or support process and mutual discussions.

Subject to Applicable Law and non-waivable consumer rights and remedies, unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time.

The appointment of the arbitrator shall comply with Applicable Law. Courts at Bengaluru, Karnataka, shall have jurisdiction to the extent legally permissible.

29. FORCE MAJEURE

CoRide will not be responsible for any delay or failure to perform its obligations caused by events beyond its reasonable control, including natural disasters, epidemics, strikes, civil unrest, governmental actions, changes in law, telecommunications or network failures, cyber incidents, payment-network failures, road closures, or other force majeure events.

30. ASSIGNMENT, SEVERABILITY AND WAIVER

CoRide may assign or transfer these Terms in connection with any restructuring, merger, sale, or transfer of its Carpool business, technology, or relevant assets, subject to Applicable Law. You may not assign or transfer Your Account without CoRide's prior written consent.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified or severed to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force and effect.

The failure or delay by CoRide to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision or any other provision in the future.

31. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

These Terms, the Privacy Policy, the Carpool Wallet Policy, the applicable cancellation and refund policy, promotional terms, and any other documents expressly incorporated by reference constitute the agreement governing the Carpool Services.

A document specifically governing a particular subject matter will prevail with respect to that subject matter, followed by these Terms, unless otherwise required by Applicable Law.

32. IDISHA / QUICK RIDE TO CORIDE TRANSITION

The Platform is currently branded as Quick Ride and has historically been associated with iDisha Info Labs Pvt. Ltd. The Carpool business is being transitioned to CoRide Mobility Pvt. Ltd. From the effective date notified through the Platform, CoRide will be the contracting entity for the Carpool Services covered by these Terms.

The Platform may continue to display the Quick Ride name, interface, Account infrastructure, or technology during or after the transition. This does not bring taxi or other non-Carpool services within the scope of these Terms.

Existing Carpool Accounts, pending Carpool transactions, and eligible Carpool Wallet Balances may be migrated or continued within the CoRide Carpool environment to the extent legally and technically permitted. Users will be notified of any material changes affecting contractual responsibility, balances, payments, or personal data.

Any taxi or other non-Carpool service will remain governed by the terms applicable to the entity responsible for that service.

33. USER ACKNOWLEDGEMENT

• CoRide's role is to provide technology and facilitation services for the Carpool Services covered by these Terms.
• Carpool Givers and Carpool Takers remain responsible for their own decisions, conduct, documentation, and compliance with Applicable Law.
• Carpool Services are intended for genuine ride-sharing and eligible ride-cost sharing and are not intended for commercial taxi operations.
• The Carpool Wallet is restricted to permitted Carpool purposes and is not a general-purpose wallet.
• Users should review the applicable cancellation, refund, wallet, and Privacy Policy before using the Services.

ANNEXURE A – CARPOOL WALLET OPERATING PRINCIPLES

1. The Carpool Wallet is linked to the User's Account and may be used only for eligible Carpool transactions.
2. Wallet transactions should generate an electronic record showing the transaction type, amount or value, and relevant ride or transaction reference.
3. Credits and debits may arise from ride settlements, refunds, reversals, promotions, corrections, fees, or other permitted Carpool-related adjustments.
4. Wallet value must not be transferred between Users except as part of the documented settlement of an eligible Carpool transaction.
5. Cash withdrawals, unrelated remittances, and general-purpose merchant payments are not supported unless expressly enabled under a separately compliant product structure.
6. CoRide may place temporary holds or restrictions on Wallet functionality for fraud review, chargeback management, reconciliation, legal compliance, or User protection.
7. The expiry or forfeiture of promotional credits must be clearly disclosed when the credit is issued.
8. Residual balances upon Account closure will be handled in accordance with the actual Wallet architecture, disclosed policy, and Applicable Law.

ANNEXURE B – GIVER VEHICLE / DOCUMENT DECLARATION

The Carpool Giver may be required to provide the following documents and information:

• Valid driving licence;
• Vehicle Registration Certificate;
• Valid motor vehicle insurance appropriate for the Ride Vehicle and its intended use;
• Valid PUC certificate, where applicable;
• Vehicle details and photographs; and
• Any other document reasonably required for verification or legal compliance.

The Carpool Giver is responsible for ensuring that the Ride Vehicle and its insurance permit the intended use and ride-sharing arrangement to the extent required by Applicable Law.

ANNEXURE C – GOOD CONDUCT CHARTER

• Respect fellow Users and their personal boundaries.
• Do not engage in abusive, threatening, discriminatory, or sexually inappropriate conduct.
• Do not use a mobile phone in an unsafe manner while driving.
• Do not intentionally manipulate the agreed route without reasonable justification.
• Do not solicit or settle ride payments outside the permitted Platform mechanisms.
• Do not misuse or improperly use a User's contact details after the ride.
• Promptly report serious safety, fraud, or misconduct concerns to CoRide through the available reporting or support channels.
